Any project, implementation, or ongoing engagement (for example, ERPNext implementation, Vtiger CRM customization, application development, or consulting) is governed by a separate, mutually agreed proposal, statement of work, service agreement, or contract between Alera and the client, which sets out the specific scope, deliverables, fees, timelines, and terms applicable to that engagement. Where any term in a signed client agreement conflicts with these Terms, the signed agreement takes precedence for that engagement.

5. Fees and Payment

Fees for services are quoted and agreed separately for each engagement and are not fixed by anything published on the Website. Published figures such as illustrative cost ranges or third-party pricing comparisons on our blog are for general guidance only and are not a quote for your specific project.

Payment terms, invoicing schedules, and any late-payment terms are set out in the applicable proposal or service agreement for each engagement.

6. Intellectual Property in Delivered Work

Ownership of custom deliverables (such as custom code, configurations, or designs built specifically for a client) is set out in the applicable service agreement for that engagement. Unless otherwise agreed in writing, Alera retains ownership of its own pre-existing tools, frameworks, methodologies, and general know-how used to deliver the work, and grants the client a licence to use the delivered work for its intended business purpose.

Third-party platforms we implement or integrate with, including ERPNext (Frappe Technologies), Vtiger CRM, and other software, remain subject to their own respective licences and terms.

7. Confidentiality

In the course of a client engagement, both parties may share confidential business information. Alera treats client business data, credentials, and project information shared during an engagement as confidential, and expects the same treatment of any confidential information we share. Confidentiality obligations for a specific engagement are set out in the applicable service agreement or a separate non-disclosure agreement where one is signed.

8. Disclaimers

The Website and its content are provided on an "as is" and "as available" basis. While we take reasonable care to keep information on the Website accurate and up to date, we do not warrant that the Website will be uninterrupted, error-free, or that all content (including third-party pricing figures referenced in blog content) will remain current at all times.

Nothing on the Website constitutes a guarantee of specific business outcomes, cost savings, or results from any service, project, or implementation. Actual outcomes depend on factors specific to each client's business, data, and requirements, and are addressed, where applicable, in the terms of the relevant service agreement.

For services delivered under a separate service agreement, liability is governed by the limitation of liability terms set out in that agreement.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable Indian law.

The Website may reference or link to third-party platforms, tools, or websites (for example, ERPNext, Vtiger CRM, Google Maps, or payment gateways). Alera is not responsible for the content, accuracy, security, or practices of third-party websites or services, and your use of them is subject to their own respective terms.

By submitting an enquiry through the Website or providing your contact details, you consent to being contacted by Alera via email, phone, or WhatsApp regarding your enquiry or the services you have requested, in accordance with our Privacy Policy.

We may suspend or restrict your access to the Website at any time, without notice, for conduct that we believe violates these Terms or is harmful to other users, the Website, or Alera. Termination of an active service engagement is governed by the terms of the applicable service agreement.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of India. Any disputes arising out of or in connection with these Terms or your use of the Website shall be subject to the exclusive jurisdiction of the courts at Nagpur, Maharashtra, India, unless a signed service agreement for a specific engagement specifies a different dispute-resolution mechanism.
